01Acceptance of terms

By accessing this website or engaging ColdTech Advanced Solutions LTD ("ColdTech", "we", "us") for any service, you ("the Client") agree to be bound by these Terms and Conditions. If you do not agree, please do not use the website or our services.

02Services

ColdTech provides turnkey technology services including, without limitation: custom software development, systems integration, IT consultancy, cybersecurity, cloud computing and network design and implementation. The specific scope, deliverables, timeline and fees of any engagement are defined in a written proposal or statement of work.

03Proposals & engagement

Proposals are valid for the period stated therein. An engagement begins once the Client accepts a proposal in writing or a statement of work is signed. Fees, payment schedules and milestones are as set out in that document. Unless stated otherwise, quoted fees exclude applicable taxes (including GST) and third-party costs such as licences, cloud infrastructure and domain registrations.

04Intellectual property

Upon full payment, custom deliverables created specifically for the Client are assigned to the Client, except for: (a) pre-existing ColdTech tools, libraries, frameworks and know-how, and (b) third-party and open-source components, which remain governed by their respective licences. ColdTech retains the right to reference the engagement in its portfolio unless confidentiality is agreed in writing.

05Client responsibilities

• Provide timely, accurate information, access and approvals required to perform the services.
• Ensure it holds the rights to any materials, data or systems it asks ColdTech to work with.
• Designate a point of contact authorised to make decisions and sign off deliverables.
• Meet agreed payment terms.

06Confidentiality

Each party will protect the other's confidential information with at least the same care it applies to its own, and will use it only to perform the engagement. This obligation survives the termination of the engagement. It does not apply to information that is public through no fault of the receiving party, or that must be disclosed by law.

07Privacy & data

ColdTech handles personal information in accordance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and Alberta's Personal Information Protection Act (PIPA). This website is served without third-party tracking or advertising cookies. Where an engagement involves processing personal data on the Client's behalf, the applicable safeguards are set out in the relevant agreement.

08Warranties & disclaimers

ColdTech performs its services with reasonable skill and care consistent with industry standards. Except as expressly stated in a signed agreement, services and website content are provided "as is" without warranties of any kind, whether express or implied, including implied warranties of merchantability or fitness for a particular purpose.

09Limitation of liability

To the maximum extent permitted by law, ColdTech is not liable for indirect, incidental, special or consequential damages, or for loss of profits, data or business, arising out of or related to the services or this website. ColdTech's total aggregate liability for any engagement is limited to the fees paid by the Client for that engagement.

10Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. The parties submit to the exclusive jurisdiction of the courts of Alberta, Canada.

11Changes to these terms

ColdTech may update these Terms from time to time. The current version is always the one published on this page, with its effective date shown above. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.
